1. Definitions

In these general terms and conditions, the following terms have the following meanings:

  • Casemeister: Neddev B.V. (Casemeister is a brand name of Neddev), established in the Netherlands, Chamber of Commerce (KvK) number 65641922
  • Customer: The natural or legal person who enters into an agreement with Casemeister
  • Service: The SaaS application for case management offered by Casemeister, including all features such as AI assistance, document generation and integrations
  • User: A person authorised by the Customer who has access to the Service
  • Agreement: The agreement between Casemeister and the Customer for the use of the Service
  • Content: All data, documents and information entered, uploaded or processed by the Customer via the Service
  • Data Processing Agreement: The agreement referred to in Article 28 GDPR governing the processing of personal data
  • Scheduled maintenance: Maintenance announced at least 48 hours in advance by email or by notification in the Service

2. Applicability

2.1 These general terms and conditions apply to all offers, quotations and agreements between Casemeister and the Customer.

2.2 Deviations from these terms and conditions are only valid if agreed in writing.

2.3 The applicability of any purchasing or other terms and conditions of the Customer is expressly rejected, unless otherwise agreed in writing.

3. Formation of the agreement

3.1 The agreement is concluded at the moment the Customer registers for the Service and accepts these terms and conditions.

3.2 Upon signing up for a trial period, a temporary agreement is concluded for the duration of the trial period.

3.3 Casemeister reserves the right to refuse a registration without stating reasons.

4. The Service and availability

4.1 For the term of the agreement, Casemeister grants the Customer a non-exclusive, non-transferable right to use the Service.

4.2 The Service is provided "as is". Casemeister does not guarantee that the Service will function without interruptions or errors at all times.

4.3 Availability (SLA)

4.3.1 Casemeister will use its best efforts to achieve an availability of at least 99.5% per calendar month, measured over the core functionality of the Service (logging in, opening case files, consulting documents).

4.3.2 Scheduled maintenance (announced at least 48 hours in advance) and force majeure are not taken into account in the availability measurement.

4.3.3 If availability in a calendar month is lower than 99.5%, the Customer is entitled to a service credit of 5% of the monthly fee per 0.5 percentage point below 99.5%, up to a maximum of 25% of the monthly fee.

4.3.4 Service credits must be requested in writing within 30 days after the end of the calendar month concerned and will be set off against the next invoice.

4.3.5 Service credits constitute the sole and exclusive remedy for failure to meet the availability target.

4.4 Casemeister may modify or extend the Service from time to time. Material changes that restrict existing functionality will be announced at least 30 days in advance.

5. Use of the Service

5.1 The Customer is responsible for the use of the Service by its Users.

5.2 The Customer shall not use the Service for unlawful purposes or in breach of these terms and conditions.

5.3 It is not permitted to:

  • Reverse engineer, decompile or disassemble the Service
  • Circumvent or test the security of the Service without prior written consent
  • Use the Service to distribute malware or spam
  • Share access credentials with unauthorised third parties
  • Resell or sublicense the Service

5.4 The Customer is responsible for keeping login credentials confidential and for using strong passwords. Casemeister strongly recommends the use of two-factor authentication.

6. Content and intellectual property

6.1 The Customer retains all rights to the Content it enters into the Service. Casemeister does not acquire any ownership rights to the Content.

6.2 The Customer grants Casemeister a limited licence to process the Content to the extent strictly necessary for providing the Service, including the AI features.

6.3 No use for training: Content is expressly not used for training AI models or for any other purpose beyond the direct provision of services to the Customer.

6.4 All intellectual property rights to the Service, including software, documentation and trademarks, are vested in Casemeister.

6.5 The Customer warrants that the Content does not infringe any third-party rights.

7. Prices and payment

7.1 The prices for the Service are those set out in the applicable quotation or agreement, exclusive of VAT.

7.2 Invoicing takes place monthly in advance, unless otherwise agreed.

7.3 Payment must be made within 14 days of the invoice date.

7.4 In the event of late payment:

  • Casemeister will send a reminder by email setting a further payment period of 14 days
  • Upon expiry of the further payment period, the Customer is in default by operation of law
  • Casemeister is then entitled to charge statutory commercial interest
  • Casemeister may suspend the Service no earlier than 14 days after the reminder, provided that during the suspension the Customer retains read access and the ability to export for a period of 30 days
  • Extrajudicial collection costs are payable by the Customer

7.5 Casemeister may adjust its prices annually. Price changes will be announced at least 30 days in advance. In the event of a price increase of more than 10%, the Customer has the right to terminate the agreement with effect from the date on which the price change takes effect.

8. Term and termination

8.1 The agreement is entered into for an indefinite period, unless otherwise agreed.

8.2 Either party may terminate the agreement subject to a notice period of one month, with effect from the end of a calendar month.

8.3 Termination must be effected in writing or by email.

8.4 After termination, the Customer retains access until the end of the paid period.

8.5 Return of data upon termination

8.5.1 For 30 days after the end of the agreement, the Customer can export its Content via the built-in export functions of the Service. Content is available in the following formats: JSON and CSV for structured data, and original file formats for uploaded documents.

8.5.2 At the Customer's request, Casemeister can assist with data export or migration. Additional costs may be associated with this, which will be communicated in advance.

8.5.3 After the 30-day export period has expired, all Content and personal data will be permanently and irretrievably deleted, with the exception of data subject to a statutory retention obligation (billing data: 7 years).

8.5.4 Casemeister will confirm the deletion in writing at the Customer's request.

9. Trial period

9.1 Casemeister may offer a free trial period of up to 14 days.

9.2 There is no payment obligation during the trial period.

9.3 At the end of the trial period, the agreement terminates automatically, unless the Customer takes out a paid subscription.

9.4 Upon termination of the trial period without conversion to a paid subscription, the Customer has 14 days to export Content. After that, all Content will be permanently deleted.

9.5 Casemeister may terminate the trial period at any time, subject to the export period set out in Article 9.4.

10. Support and maintenance

10.1 Casemeister provides support by email during office hours (Monday to Friday, 9:00 - 17:30 CET).

10.2 Casemeister aims to respond to support requests within 24 hours on working days.

10.3 Scheduled maintenance is announced at least 48 hours in advance and is carried out outside office hours as far as possible.

10.4 In the event of outages that significantly affect the availability of the Service, Casemeister will use its best efforts to resolve them as quickly as possible and will keep the Customer informed of progress by email or via the status page.

11. AI features

11.1 The Service includes AI features for, among other things, document generation, legal analysis, a digital assistant and speech recognition.

11.2 No legal advice: The Service, including all AI features, case law databases and document templates, is solely a tool and does not replace legal advice. Casemeister is not a law firm and does not provide legal advice. The Customer remains at all times responsible for the accuracy and completeness of its legal work.

11.3 Duty to verify: AI features may generate incorrect, incomplete or outdated information. The Customer must independently verify all AI-generated output before using it in its professional practice.

11.4 Data protection in AI: Casemeister applies pseudonymisation techniques to documents before they are processed by AI services. More information on this is available in the privacy policy and on the GDPR page.

11.5 Availability: AI features depend on external service providers. Casemeister does not guarantee the uninterrupted availability of AI features. The unavailability of AI features does not affect the availability of the core functionality (SLA, Article 4.3).

11.6 No training on Content: The Customer's Content is not used for training AI models.

11a. WhatsApp Business integration

11a.1 The Customer may connect its own WhatsApp Business account to the Service via Meta. For this purpose the Customer itself enters into an agreement with Meta and remains the owner of its WhatsApp Business account, telephone number and message templates.

11a.2 The Customer complies with the WhatsApp Business terms, the WhatsApp Business Messaging Policy and Meta's Commerce Policy. The Customer sends messages only to persons who have given consent (opt-in) for this or with whom there is an ongoing relationship, and, outside the 24-hour window, sends only templates approved by Meta.

11a.3 Charges made by Meta for conversations or messages are borne by the Customer and are invoiced by Meta directly to the Customer, unless otherwise agreed.

11a.4 Casemeister is not liable for restrictions, blocks, quality ratings or outages on the part of Meta/WhatsApp, nor for the rejection of templates by Meta.

11a.5 The standard templates and the template assistant are tools; the Customer is responsible for the content of messages sent.

11a.6 The AI assistant for WhatsApp is switched off by default. If the Customer switches it on, the Customer is responsible for supervising the replies; the assistant verifies the identity of the sender before case file information is shared and hands over to a staff member in case of doubt.

11a.7 The Customer can terminate the connection at any time via Messages → WhatsApp → Disconnect. Casemeister will then immediately erase the access token. Messages received previously remain part of the Content.

11a.8 Casemeister processes WhatsApp data as a processor in accordance with the Data Processing Agreement; for the WhatsApp service, Meta is an independent contracting party of the Customer.

12. Liability

12.1 Casemeister's total liability is limited exclusively to direct damage and amounts, per damage-causing event (or series of related events), to no more than the amount actually paid by the Customer to Casemeister in the 12 months immediately preceding the damage-causing event.

12.2 Casemeister is expressly not liable for:

  • Indirect damage, consequential damage, lost profits, lost savings or lost revenue
  • Damage due to loss, damage, inaccessibility or corruption of Content or data
  • Damage due to unauthorised use, theft or misuse of login credentials
  • Damage due to failures in internet connections, telecommunications or third-party systems
  • Damage resulting from incorrect, incomplete or outdated information generated by AI features
  • Damage due to decisions taken on the basis of information from the Service
  • Damage due to failure to meet time limits or deadlines
  • Reputational damage or damage to the relationship with the Customer's clients
  • Damage due to changes in laws or regulations
  • Costs of legal assistance or litigation costs of the Customer
  • Damage due to the unavailability of AI features

12.3 Backups: Although Casemeister makes backups (30 days rolling), the Customer is itself responsible for making its own backups of essential Content. Casemeister does not guarantee that lost Content can be restored.

12.4 The limitations set out in this article do not apply if the damage is the result of intent or deliberate recklessness on the part of Casemeister's management, or in the event of a breach of the duty of confidentiality (Article 14) or of the obligations under the data processing agreement.

12.5 Claims for damages lapse if they have not been submitted to Casemeister in writing within 12 months of discovery of the damage.

13. Indemnification

13.1 The Customer indemnifies Casemeister against all claims by third parties (including clients of the Customer, supervisory authorities and other parties) relating to:

  • The use of the Service by the Customer or its Users
  • The Content that the Customer enters, stores or processes via the Service
  • Infringement of third-party rights by the Customer
  • Acts in breach of laws or regulations by the Customer
  • Claims by clients of the Customer, regardless of their basis

13.2 This indemnification does not apply to the extent that the claim is the direct result of a failure attributable to Casemeister.

14. Confidentiality

14.1 The parties shall keep confidential information of the other party confidential and shall not disclose it to third parties without prior written consent.

14.2 Casemeister acknowledges that Content of law firms may be subject to professional secrecy (Section 11a of the Dutch Lawyers Act (Advocatenwet)) and treats such Content with the utmost confidentiality.

14.3 The duty of confidentiality under this article remains in force for the term of the agreement and until 3 years after termination.

14.4 This duty of confidentiality does not apply to information that:

  • Was already public at the time of disclosure
  • Becomes public through no fault of the receiving party
  • Was lawfully obtained from a third party without a duty of confidentiality
  • Must be disclosed pursuant to a legal obligation or court order, provided that the disclosing party notifies the other party thereof without delay

15. Privacy and data processing

15.1 Casemeister processes personal data in accordance with the General Data Protection Regulation (GDPR).

15.2 Casemeister's privacy policy is available at casemeister.com/en/privacy.

15.3 To the extent that Casemeister processes personal data on behalf of the Customer, Casemeister acts as a processor within the meaning of Article 28 GDPR.

15.4 The parties conclude a data processing agreement in accordance with Article 28 GDPR. The data processing agreement is available on request via privacy@casemeister.com and, upon signature, forms an integral part of this agreement.

15.5 Data breach notification

15.5.1 Casemeister notifies the Customer of a personal data breach (data breach) without undue delay and in any event within 24 hours of discovery.

15.5.2 The notification contains at least: the nature of the data breach, the (estimated) scope, the likely consequences and the measures that have been or will be taken.

15.5.3 Casemeister provides the Customer with all reasonable cooperation in complying with its notification obligations to the Autoriteit Persoonsgegevens (Dutch Data Protection Authority) (Article 33 GDPR) and to data subjects (Article 34 GDPR).

15.6 Audit

15.6.1 The Customer has the right to carry out audits, or have them carried out, whether or not by an independent third party, with regard to compliance with the data processing agreement and the GDPR, provided that:

  • The audit is announced in writing at least 30 days in advance
  • The audit takes place during office hours and does not unreasonably disrupt business operations
  • The auditor is bound by confidentiality
  • The costs of the audit are borne by the Customer

15.6.2 If several customers wish to carry out an audit at the same time, Casemeister may propose that an independent auditor carries out a combined audit on behalf of several customers.

15.6.3 As an alternative to an on-site audit, Casemeister may make available a current audit report, certification or comparable document.

15.7 More information about GDPR compliance is available at casemeister.com/en/gdpr.

16. Force majeure

16.1 Neither party is obliged to perform any obligation if it is prevented from doing so by force majeure.

16.2 Force majeure means: failures in internet connections or telecommunications infrastructure, power outages, natural disasters, war, strikes, pandemics, government measures, and failures at Casemeister's suppliers.

16.3 The party invoking force majeure shall notify the other party thereof without delay.

16.4 If the force majeure lasts longer than 30 days, either party may dissolve the agreement. In that case, the Customer owes no fee for the period of force majeure and Article 8.5 (return of data) applies in full.

17. Changes

17.1 Casemeister may amend these terms and conditions. Changes will be announced at least 30 days in advance by email to the Customer's email address known to Casemeister.

17.2 In the event of material changes, the Customer has the right to terminate the agreement with effect from the date on which the changes take effect, without any costs being charged for this.

17.3 Continued use of the Service after changes have come into effect constitutes acceptance thereof.

17.4 Previous versions of these terms and conditions are archived and are available on request.

18. Assignment

18.1 The Customer may not assign its rights and obligations under the agreement to a third party without the prior written consent of Casemeister.

18.2 Casemeister may assign its rights and obligations under the agreement to a third party (including a legal successor or acquiring party), provided that:

  • The Customer is notified thereof in writing at least 30 days in advance
  • The acquiring party assumes all obligations under the agreement and the data processing agreement
  • The Customer has the right to terminate the agreement free of charge within 30 days of the notification, subject to Article 8.5 (return of data)

19. Governing law and disputes

19.1 This agreement is governed by Dutch law.

19.2 Before submitting a dispute to the court, the parties shall endeavour for a period of 30 days to resolve the dispute by mutual consultation.

19.3 Disputes that cannot be resolved by mutual consultation shall be submitted exclusively to the competent court in the district in which Casemeister is established.

20. Final provisions

20.1 If any provision of these terms and conditions proves to be null and void or voidable, the remaining provisions remain in full force.

20.2 The void or annulled provision will be replaced by a valid provision that approximates its purport as closely as possible.

20.3 These terms and conditions, together with the data processing agreement and the privacy policy, constitute the entire agreement between the parties and supersede all previous arrangements relating to the subject matter of these terms and conditions.
